TERMS AND CONDITIONS OF "LADYBUQ" ART. STUDIO DARIUSZ BEłCH
ONLINE SHOP
effective from 28th May 2015.

§ 1
IN GENERAL

1. The Online Shop available on www.ladybuqart.pl website is owned by Dariusz Bełch and his company named "LadyBuq" Art. Studio Dariusz Bełch,
Kraczkowa 1079, 37-124 Kraczkowa, Poland,
tax identification number NIP: 813-30-94-872,
REGON number: 18-00-10-042.

2. Contact details of LadyBuq Online Shop:

3. These terms and conditions regulates the use of the Online Shop and specify in particular the types and range of services as follows :

• rules of registration and the use of the Online Shop;
• terms and conditions of placing an order in the Online Shop;
• terms and conditions of contract of sale through the services offered in the LadyBuq Online Shop,
• rules for the implementation of this agreement.
• return and exchange policy.

4. All products sold in Ladybuq Online Shop are brand new. Ladybuq informs that goods offered in the shop are handmade.
Each product offered in the shop is manufactured only after the order is placed by a Customer.
LadyBuq in its production process uses only natural products and raw materials that can have some markings and characteristics such as color, grain or thickness variations, discolorations or other slight imperfections. These markings serve as a proof of authenticity of natural leather.

5. LadyBuq stipulates that coloring inside the compartments of products is accidental.

6. To use LadyBuq Online Shop, including products viewing or placing orders the following, minimal, technical requirements must be met:

• having a computer / other media device with an access to the Internet ;
• installed Internet browser :
• Internet Explorer version 8.0 or later with ActiveX , JavaScript and cookies enabled or
• Mozilla Firefox version 22.0 or later with Java applets , JavaScript

and cookies enabled or

• Google Chrome 28.0 or later with Java applets , JavaScript

and cookies enabled or

• Opera version 12.0 or later with Java applets , JavaScript and Cookies enabled

or

• Apple Safari 5.0 or later with Java applets , JavaScript, and cookies enabled ;
• have an active e-mail account ( e-mail) ;

 
§ 2 
DEFINITIONS

PRODUCTION LEAD TIME- The number of working days between a receipt of an order placed by the Customer through the Online Shop and until when the product is finished and available for shipment.

Production lead time does not include:

- entrusting ordered products to courier / Polish Post in order to deliver to the Customer and

- delivery time of ordered products via courier to the address given by Customer.

Production lead time of products ordered in LadyBuq Shop ranges from three to fifteen days. LadyBuq will do its best to make the production lead time as short as possible.
WORKDAYS - weekdays from Monday to Friday excluding public holidays established by law in Poland.
LIMITED EDITION - goods produced by LadyBuq with limited quantity. Orders will be carried out in the order of receipt until stocks are exhausted. In this case LadyBuq reserves the right to withdraw from the contract.
INDIVIDUAL ORDER - a service offered by LadyBuq Online Store to customise a product according to personal specyfications and preferences of the Customer. Individual order will be executed only after determining by the parties all essential details of that order  (design, shape, color, price) and after its final confirmation via email by LadyBuq and the Customer.
Making changes (eg . color, shape , length of the handle / strap , extra pocket ) in
the goods offered at the LadyBuq Online Shop are considered as an individual order as well.
Goods created for individual order are also subject to individual pricing by LadyBuq .
There are no cancellations or refunds for individual orders.
Individual orders are made after the payment has been posted.

CUSTOMER - natural person who places an order at the Internet Shop, person who is over 18 years of age and has full capacity to act.
CONSUMER –a Customer, natural person who  uses services, places an order at LadyBuq Intertet Shop in accordance with Art. 221 of Polish Civil Code.
CONFIRM PURCHASE, ORDER WITH  THE OBLIGATION TO PAY - means the submission of an order and the obligation to pay for it by Customer.
SERVICE - means websites where Seller runs Online Shop.
SHOP - Online Shop, www.ladybuqart.pl  run by LadyBuq "Art. Studio Dariusz Bełch , Kraczkowa 1079 , 37-124 Kraczkowa , Poland .
GOODS - products available at the Online Shop, for which a Customer can place an order .
DISTANCE  SALES CONTRACT- is a contract between a Seller and a Consumer 
that is not agreed to in person and in which the Consumer has no opportunity to inspect the goods before the contract  is entered into. The contract is finalized by using distant communication channels, available at the shop.
ORDER – Customer's declaration of intent to buy goods offered by LadyBuq . The contract includes all the detailed information to enable its execution.

§ 3
TERMS OF USE OF THE SERVICE – ONLINE SHOP REGISTRATION

• For the purpose of handling orders by LadyBuq and in order to buy products and use services offered by LadyBuq Internet Shop, registration on shop's website, acceptance of these Terms and Conditions and the concent by the Customer to the processing of personal data are required.
• Registration in the Online Shop is voluntary and free.
• Customer who wish to open an account in the LadyBuq Internet Shop declares that:
  • personal data provided during the registaration process is complete and accurate
  • Termes and Conditions are accepted and complied with.

• Customer can open Client's Account at LadyBuq Internet Shop by clicking "Register" tab on the main page of LadyBuq Online Shop www.ladybuqart.pl or can register when placing an order.
• During the Registration in LadyBuq Online Shop the Customer is obliged to provide the following information:
  • e-mail address , which will be Customer's username;
  • password used by Customer  to log in to the account;
  • full name

• After completing the registration form and selecting "open an account" option an automatic message with the information how to complete account's activation process, will be sent to Customer's e-mail address.
• After registering the Customer can sign in to LadyBuq website using an e-mail address  as  a username and a password.
• Customer can browse the content of the Online Shop or place an order without the need to register. However, the Customer who has registered in LaduBuq Online Shop can: track order history, track the status of an order .
• The data marked as mandatory are necessary to register a Customer's Account. Providing information marked as obligatory is voluntary, however, necessary in order to set up Customer's account . The personal data that are not marked as mandatory are voluntary and are not required to establish a Customer’s Account .
• The contract for the provision of online services by using Customer's Account on the website  is concluded upon receipt of the electronic message confirming the registration of this account.

§ 4
PLACING AND CONFIRMING ORDERS

• The subject of orders placed through LadyBuq Online Shop are goods available on   www.ladybuqart.pl website.

• Purchase of any Goods through LadyBuq Online Shop is conditional upon:

• • acceptance and compliance with these Terms and Conditions  by ticking the appropriate box before finalizing the order. Lack of acceptance of these Terms and Conditions during the ordering procedure prevents LadyBuq from selling goods through the Online Shop .
  • providing personal data in the order form and expressing consent  to the processing of  personal information given by the Customer by ticking the appropriate box when placing an order in the Online Shop.

• In order to make a purchase through the Online Shop, Customer needs to enter LadyBuq Online Shop website and perform subsequent actions by following the information and messages displayed on the website.
• Placing an order is made by ​​using the order form available after logging into Customer Account in the Online Shop or by using a form allowing the submission of contracts without the registration. Customer selects goods by adding them to the shopping cart

 ( click on " Add to Cart ").

• Placing an order through the website online store www.ladybuqart.pl involves :
  • selecting and adding goods to the cart;
  • selecting delivery option;
  • choosing payment method;
  • filling out the order form;
  • submission and  confirmation of the order by pressing " Confirm Purchase, Order With  The Obligation To Pay" tab.
• In the order form, referred to above the following information should be noted:

• the name of the Customer / Consumer;
• the address of the Customer / Consumer;
• phone number of the Customer / Consumer;
• e - mail address of the Client / Consumer ;

• • recipient's details and delivery address, if ordered goods to be delivered to a different address than the address of the Customer / Consumer.

• After the Client has completed all the necessary information specified in the order form and indicated the method of delivery and payment, a summary of the order with the following information will appear on the screen:
  • ordered product or products;
  • the unit price of individual product and total price of all ordered goods when ordering more than one product;
  • delivery costs
• During the ordering procedure and until  pressing on "Confirm Purchase, Order with the obligation to pay," the Customer has the ability to modify the order details such as the choice of goods, goods delivery address, the payment method. In order to modify your choice, click "Edit / Back" tab that appears during the ordering procedure.
• Order is submitted by clicking on "Order with the obligation to pay".
• Submitting an order by Customer means concluding a sales agreement with LadyBuq for purchasing goods included in the order.
• After receiving the order LadyBuq will send an e-mail to the Customer confirming the receipt of the Order ( the "Confirmation " or " Confirmation of order ").With the receipt of this message the sales contract is concluded with LadyBuq. In the content of this message, which is confirmation of the contract of sale , the order number will be included.
• The contract of sale is concluded in Polish and is consistent with these Terms and Conditions and applicable law.
• Online service of purchasing goods through LadyBuq Online Shop is free of charge and it is terminated immediately after the completion of the contract by LadyBuq.
• If, after the submission of order, involving several products it turns out that the execution of some part of the contract will not be possible in the time period stated above, LadyBuq will immediately inform the Customer via e-mail. In such case, the Customer may cancel the order of the part, the execution of which is not possible within the shop’s production lead time or cancel entire order by informing LadyBuq via e-mail sent to the following address: ladybuq@wp.pl or in writing to the postal address LadyBuq (indicated above).
• In situations when goods ordered in the Online Shop are not available or the production lead time is longer than specified in Terms and Conditions, LadyBuq reserves the right to withdraw from the contract.
• In the case when the Customer has paid for the order in advance, LadyBuq will  immediately refund the price the Customer paid or an appropriate fraction of it in the event when only some part of the order was executed. Refund will be made using the same method of payment, which was used to pay for an order, unless the Customer agrees to other methods of refunding the payment. In each case the Customer does not bear any costs that may incur as a result of the reimbursement.
• Seller reserves the right to refuse confirmation of Orders or cancellation of the Order made in any of the following cases:

• order form is not fully completed or has been completed in

the wrong way;

• order was made in breach of these Terms and Conditions.

§ 5
PRICES OF GOODS IN THE ONLINE SHOP

• Please be aware that the prices displayed on our website are in Polish zloty (PLN) and include Value Added Tax but exclude delivery costs, which will be added to the total amount due. The applicable delivery costs will be clearly displayed during the checkout process.
• Prices quoted by LadyBuq are binding when placing orders on the www.ladybuqart.pl website.
• Payment for the ordered goods can be made via:
  • traditional bank transfer (before delivery of the goods ) to LadyBuq account number:

• Cash On Delivery - payment is made to the shipping company at the time of delivery
• via PAY PAL electronic payment system
• Credit card (Visa, MasterCard);
• collecting goods in person in  LadyBuq studio.

• Failure to pay for the order in 7 working days after placing the Order results in cancellation of the Order by LadyBuq.

 
§6
PAYMENT METHODS

• Goods ordered in the Online Shop with the delivery address within the Republic of Poland - Customer when ordering can select the following methods of payment for the order and its delivery:
  • Cash on delivery delivery of ordered goods - Customer makes the payment on the receipt of the goods delivered by courier ( cash on delivery ) or customer shall pay for goods directly in LadyBuq Studio ( debit card ) ;
  • before receiving ordered goods ( payment in advance) - electronic payment by credit card ( Visa, MasterCard ) / Internet transfer electronic banking;

via the online payment service : Pay Pal / traditional  bank transfer to LadyBuq account ( PLN / € / $ ) .

• In the event of ordering goods with the delivery address outside of the Republic of Poland (applies only to countries of European Union) Customer can select one of the following payment method:
  • before receiving ordered goods ( payment in advance) - electronic payment by credit card ( Visa, MasterCard ) / Internet transfer electronic banking
    via the online payment service : Pay Pal / traditional bank transfer to LadyBuq account ( PLN / € / $ ) .

• In the case of goods ordered through the Online Shop to be delivered to the address outside the European Union (eg. Canada, the US, other) the following payment methods are available:
  • before receiving ordered goods ( payment in advance) - electronic payment by credit card ( Visa, MasterCard ) / Internet transfer electronic banking
    via the online payment service : Pay Pal / traditional bank transfer to LadyBuq account ( PLN / € / $ ) .

• A Customer who selected payment in advance, should pay the price and the delivery within 7 days of the receipt of the order confirmation e-mail from LadyBuq.
• A customer who chose cash on delivery payment of ordered goods is obliged to make payment when receiving the parcel containing these goods.
• Payment by credit card (Visa, MasterCard) or online banking transfer occurs via online payment service Pay Pal.

§ 7
PRODUCTION LEAD TIME, METHODS AND COSTS OF DELIVERY OF GOODS

• Goods ordered through the Online Shop are delivered to the Republic of Poland, countries of European Union and countries outside European Union.
• Delivery time and costs will vary depending on the country of delivery of the ordered goods:
• Within The Republic of Poland  territory:

• Orders placed in the LadyBuq Online Shop are delivered by
  UPS courier, Poland Sp . z.o.o. Prądzyńskiego street 1/3
  01-222 Warsaw or by Polish Post SA, Stawki street2 , 00-940 Warsaw;
• Shipments are sent from Monday to Friday, excluding public holidays of the Republic of Poland.
• Delivery cost:
• Payment in advance - 18,00 zł .
• Payment on delivery - 25,00 zł .
• Personal collection - 0 zł ,
• Delivery costs may vary depending on the number of ordered products.
• The time it takes for the courier to deliver goods to the indicated address is not included in the production lead time. 

• Countries of European Union:
• Goods are delivered by UPS courier. In the event when the phone number is not included in the order made by Customer LadyBuq will sent the ordered goods by Polish Post or will cancel the order.
• Shipments are sent from Monday to Friday, excluding public holidays of Poland.
• Delivery cost:
• Payment in advance - 80,00 PLN
• Delivery costs may vary depending on the number of ordered products.
• The time it takes for the courier to deliver goods to the indicated address is not included in the production lead time. 

• Countries out of European Union
• Orders placed in LadyBuq Online Shop are delivered via UPS courier or Polish Post. In the absence of a Customer's phone number, LadyBuq will deliver them via Polish Post or cancel the order.
• Shipments are sent from Monday to Friday, excluding public holidays of Poland.
• Delivery cost:
• Payment in advance - 57.85 USD - the price relates only to the delivery of goods to the countries with the delivery costs already determined for LadyBuq. If, however, the place of supply is located in the zone with higher delivery costs than the amount indicated above, LadyBuq will inform you of this fact.
• Delivery costs may vary depending on the number of ordered products.
• The time it takes for the courier to deliver goods to the indicated address is not included in the production lead time. 
• Import duties and taxes may apply to the ordered goods. LadyBuq will inform you about this via e-mail.
• Delivery costs are borne by the Customer for goods ordered to the Republic of Poland, European Union and countries outside of European Union.
• The production lead time for products ordered in the Online Shop, ranges from three (3) to fifteen (15) working days from the day:
• when payment on delivery for ordered goods is selected by the Customer - from the day when the confirmation of accepting the order is sent by LadyBuq via e-mail.
• in the event when the Customer selected payment by credit card (Visa, MasterCard), internet banking transfer or traditional bank transfer - from the date of the receipt of payment by LadyBuq.

• Goods ordered in the Online Store are shipped with the receipt issued by LadyBuq (VAT invoice) for ordered goods.
• If the Customer in The Republic of Poland does not request VAT LadyBuq will send goods with the receipt as a proof of purchase.
• LadyBuq indicates that the products offered in the Online Shop are produced only after the order is placed and total price for the product is paid. The exception are only the contracts with cost on delivery payment.

§ 8
CONSUMER RIGHT TO WITHDRAW FROM THE CONTRACT

• The sales contracts concluded in the Online Shop are distant contracst defined by the Act of 30 May 2014 on consumer rights. According to the above law the Customer as a Consumer is entitled to withdraw from the sale agreement for any reason within 14 days from the date of delivery.
• However, in the case of goods customized by Client with personal characteristics the law cited above does not apply as it is regulated in Article 38 point 3 of the Law mentioned (Individual Order ) .
• Instruction on the right to withdraw from the agreement, including in particular information about how and the deadline for exercising the right of withdrawal and the cost of returning goods in the event of cancellation, which shall be paid by the consumer, is attached as Appendix 1 of this Terms and Conditions.
• The statement of withdrawal can be combined with the physical return of goods . To withdraw from the contract the Consumer may use the form of withdrawal, which is attached as Appendix 2  of this Terms and Conditions. In the event of cancellation the cost of returning goods is covered by the Customer.
• In the event of cancellation LadyBuq is obliged to reimburse an amount equal to the purchase price of the returned goods and the cost of delivery of the goods. However, if the Consumer has chosen the way of delivery other than the least expensive ordinary delivery offered in the Online Shop, LadyBuq is not obliged to reimburse the Consumer any extra cost paid by the Customer.
• The completed form or a statement of withdrawal must be sent to: " LadyBuq " Art. Studio Dariusz Bełch , Kraczkowa 1079 , 37-124 Kraczkowa or to an e-mail address  ladybuq@wp.pl .
• In the event of cancellation LadyBuq will immediately, but no later than within 14 days of receipt of the Consumer's declaration to withdraw from the contract, return the Consumer all received payments, including the cost of delivering the goods, with the exception of the additional costs resulting from Consumer's choice of delivery method other than the ordinary cheapest delivery offered by LadyBuq.
• In the event of cancellation made by the Customer from countries outside the European Union LadyBuq will only reimburse the price paid by the Customer for purchase of the returned goods.
• Refund payments will be made by LadyBuq using the same method of payment, which was used by the Consumer, unless the Consumer has agreed to other method of payment - in each case the Consumer does not incur any fees that may be involved in  this reimbursement.
• In the case of withdrawal, the consumer must return the goods immediately, but no later than within 14 days from the day on which the Customer informed LadyBuq about the withdrawal from the contract. To meet the deadline it is sufficient for the Consumer to send the goods before the expiry of the 14-day deadline to the following address: "LadyBuq" Art. Studio Dariusz Bełch, Kraczkowa 1079, 37-124 Kraczkowa, marked as "Return".
• Goods should be send to the above address in the same or similar packaging as it was used to sent it to the Customer. The returned goods should be in unused condition with tags and proof of purchase (receipt). LadyBuq stipulates that returned product must be properly packed, so that it is not damaged during the transport.
• LadyBuq may withhold the reimbursement of payments to the Consumer to the receipt of goods, or until the Consumer presents evidence of returning the goods.
• The Consumer is responsible for a reduction in the value of things as a result of using
  it in a different way than it was necessary to examine the nature, characteristics and functioning of things.

§ 9
RETURN OF DEMAGED OR FAULTY GOODS

• If the Client claims that acquired product is faulty, a repair or replacement of the product with the new one, regardless of other rights, may be requested by the Customer.
  In order to do this Client should:
  • return the goods (if this is possible in their original packaging and the accompanying proof of purchase) to the following address: "LadyBuq" Art. Studio Dariusz Bełch, Kraczkowa 1079, 37-124 Kraczkowa, Poland, with a note "Complaint".
  • send by mail or submit in a different way a written statement containing the complaint of defective goods to the address indicated above. To write the statement the Customer can use the form that is attached as Appendix 3 to this Terms and Conditions.
  • indicated in the above statement, whether the goods should be repaired or exchanged for a new, free from defects and to determine what is the defect and what was the date of its creation;
  • indicate in this statement contact details such as mailing address, email address and phone number for LadyBuq complaints settlements procedure.
• LadyBuq will consider the complaint within 14 days from the date of the receipt of the complaint. 

In the case of considering the complaint in favor of the Customer LadyBuq will, according to the Customer’s request, repair the item or exchange it for a new one. 
LadyBuq can reject the Customer's request to repair the product if it is impossible or when the repair would require excessive costs, comparing to the other option (ie. replacing goods with the new one, free from defects).

• LadyBuq covers reasonable costs of complaints, including the proofed cost of sending the product which is the subject of the complaint made by the Customer.
• The complaint about the color or discoloration of the product will not be considered by LadyBuq due to the fact that the goods are made from natural leather. LadyBuq informs that is uses only natural high quality leather, which as a natural product may be characterized by differences in texture, color, shade, thickness, moles, scars or wrinkles. These differences should not be considered as defects. These are the characteristics of the natural material which is leather.
• LadyBuq informs that any possible discrepancies in the size of the bags should be consulted with LadyBuq, as in the case of bags of irregular shape, dimensions given by LadyBuq at the Online Shop, and obtained by the Customer (measured independently) may vary. This may result from measuring the bag by the Customer elsewhere on the bag than LadyBuq did.
• Differences arising from the Consumer's individual computer settings (color, proportions, etc.) can not be the subject of the complaint.
• LadyBuq is obliged to deliver goods to the Customers without any physical defects and legal matters. LadyBuq is liable to the Client for the defects on the terms specified in the Act of 23 April 1964 of Civil Code (consolidated text Dz. U. from 2014, pos. 121, as amended. d.).

§ 10
EXTRAJUDICIAL MEANS OF INVESTIGATING COMPLAINTS AND RECOVERING CLAIMS

LadyBuq informs that the Customer has the right to use extrajudicial methods of the investigation of complaints and the recovery of claims. Detailed information on the Client's possibility to use these methods and the rules of access to these procedures are available on the premises and websites of district (municipal) Consumer advocates, social organizations which are involved in statutory Consumer protection, Provincial Inspectorates of Trade Inspection and at the following websites of the Office of Competition and Consumer Protection.


§ 11
CUSTOMERS PERSONAL INFORMATION PROCESSING

• By placing an order for the products in the LadyBuq Online Shop, Customer agrees to the processing of their personal information to the extent necessary for the implementation of the agreement. This information may be disclosed to the goods delivery company as well. At the same time customer retains the right to access, correct and delete them from the addresses database.
• LadyBuq ensure compliance with the personal data Law of 29.08.1997 and guarantees not to share them with other natural and legal persons.
• Personal data received from visitors to the website and registered users are processed and used only for such purposes and to the extent to which they agree. Personal data of users of the Service are not sold to third parties. Consent to the processing of personal information for the marketing purposes is voluntary.
• In the processing of personal data, LadyBuq pays particular attention to the data protection against unauthorized access. The Customer has the right to access personal data, to correct them, to stop its processing and to request its removal from the website of the system. It can be accomplished by sending to the personal data administrator - LadyBuq, a relevant request by e-mail : ladybuq@wp.pl together with the user's full name.

§ 12
FINAL PROVISIONS

• The recognition of individual provisions of these Terms and Conditions in the manner prescribed by law as void or unenforceable shall not affect the validity or enforceability of the remaining provisions hereof. Invalid provision will be replaced by the one that is the most similar to the invalid provision in these Terms and Conditions.
• Contracts are concluded in Polish.
• These Terms and Conditions are available in electronic version at www.ladybuqart.pl and in the paper form to view in LadyBuq studio. It is presumed that the Customer who is placing an order has read and accepted its content.
• We make every effort to display the colors of the products that appear on our site as accurately as possible. However, as the actual colors you see will depend on your monitor they may differ slightly from the actual colors of the products.
• LadyBuq informs that it is not liable for the wrong delivery address indicated by the Customer and all costs related to this are borne by the Customer.
• LadyBuq announces that it replies to all e-mails received from Customers as soon as possible but not later than within 7 days from the date of receiving an e-mail.
• In the case of not collecting the shipment ordered by the Customer in the Online Shop, LadyBuq reserves the right to recover the costs incurred in the connection with the delivery attempt as well as to the compensation for damage suffered.
• The customer is obliged to check the condition of delivered goods in the presence of the courier.
• When using the Online Shop website (and the Online Shop only) Customer / Consumer is obliged to:
• not supplying illegal content and do not use the Online Shop and Online Shop website in a manner that is against the law;
• not violating personal rights or other rights of the third parties;
• use all the information available in the online shop (including sales materials, marketing and promotion) only for personal use;
• compliance with laws applicable within the Republic of Poland and adherence to these regulations and general principles concerning the functioning of the Internet;
• not making unlawful activities affecting the good name of LadyBuq
  • LadyBuq reserves the right to make changes to these Terms and Conditions for legal or organizational reasons. Customers will be informed about the amendments to the Terms and Conditions by a message placed on the website of the Internet Shop www.ladybuq.pl.
  • In the event of any changes made to these Terms and Conditions, all contracts for orders placed prior to the date of the entry into force of this amendment shall be implemented in accordance with Terms and Conditions in the version applicable at the date of the agreement, an order or order booking made by the Customer.
  • Matters not regulated in these Terms and Conditions shall be governed by Polish law, in particulary the Act of 23 April 1964 Civil Code (consolidated text Dz. U. of 2014 , pos. 121 , as amended . D. ) , and in the case of Customers who are Consumers too, provisions of the Act of 30 April 2014 on Consumer rights (Dz. U. of 2014 . , pos. 827 ) as well.
    Annexes to the Regulations are : Client briefing - Appendix 1 , the form of withdrawal from the contract - Appendix 2 , and a complaint form - Appendix 3 to the Terms and Conditions.
  • These Terms and Conditions enter into force in May 2015 and they apply to contracts concluded from that date.
